Terms of Service

These Terms of Service ("Terms") govern your use of Loom, a product of MingLLM, Inc. ("MingLLM", "we", "us"). By creating an account or otherwise using Loom you agree to be bound by these Terms. If you do not agree, do not use the product.

1. Acceptance

You must be at least 18 years old and able to form a binding contract to use Loom. If you accept these Terms on behalf of an entity, you represent that you have the authority to bind that entity.

2. Account

You are responsible for safeguarding your credentials, including any API keys you connect through the Integrations panel. You will notify us promptly at security@mingllm.com if you suspect unauthorized access. We reserve the right to suspend accounts that show signs of compromise until you confirm control.

3. Acceptable Use

You will not use Loom to violate any law, infringe intellectual property, distribute malware, generate sexual content involving minors, harass any person, or attempt to bypass safety controls on the underlying model providers. See our Acceptable Use Policy for the full list. We may remove content or suspend accounts that violate it.

4. Subscriptions & Billing

Loom is metered: $0.02 per agent step and $0.50 per Factory session, plus pass-through model costs if you do not bring your own keys. New accounts receive $10 of free credit. Charges are processed by Stripe and billed monthly in arrears. Failure to pay an invoice within 14 days may result in suspension. Refunds are issued only for billing errors documented in writing.

5. Intellectual Property

You retain ownership of the briefs you submit and the artifacts Loom produces on your behalf. You grant MingLLM a non-exclusive, revocable license to process that content solely to operate the product. MingLLM retains all rights to Loom itself — software, prompts, recipes, brand. You may not reverse-engineer the product or scrape it to build a competing service.

6. Warranty Disclaimer

Loom is provided "as is" and "as available". We make no warranty that the product will be uninterrupted, error-free, or that the output will be accurate. Generative models can produce content that is wrong, biased, or unsafe. You are responsible for reviewing every artifact before you ship it.

7. Liability Cap

To the maximum extent permitted by law, MingLLM's aggregate liability for any claim related to Loom is limited to the greater of (a) the fees you paid us in the twelve months preceding the claim or (b) US$100. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data.

8. Termination

You may close your account at any time from Settings → Billing. We may terminate or suspend your access for violations of these Terms, non-payment, or activity that endangers the product or other users. On termination, your right to use Loom ends immediately and your data is purged per our Privacy Policy.

9. Governing Law

These Terms are governed by the laws of the State of California, excluding its conflicts-of-law rules. The exclusive venue for any dispute is the state or federal courts located in Santa Clara County, California, and you consent to personal jurisdiction there.

10. DMCA

If you believe content on Loom infringes your copyright, send a written notice to dmca@mingllm.com including: a signature; identification of the copyrighted work; identification of the allegedly infringing material; your contact information; a statement of good-faith belief; and a statement under penalty of perjury that the information is accurate and you are authorized to act. We will respond within 10 business days.
